Advisory Services
Mebanewood Management provides investment advisory services to clients accepted by the Firm pursuant to written agreements. Its services may include discretionary investment management, separately managed accounts, advisory services to private investment vehicles, subadvisory services, and other arrangements described in its Form ADV.
The availability and terms of any service depend on the applicable mandate, client eligibility, account requirements, jurisdiction, investment strategy, and governing documentation. Not every service, strategy, or account structure described by the Firm is available to every person.
The Firm reserves the right to accept or decline any prospective client, account, mandate, or proposed restriction, subject to applicable law.
Advisory Relationships
Accessing this website, requesting an introduction, contacting the Firm, or receiving general information does not establish an investment advisory, fiduciary, client, or contractual relationship.
An advisory relationship with Mebanewood Management is established only after the Firm has accepted the engagement and the Firm and client have entered into a written investment advisory agreement.
The applicable agreement determines the scope of the relationship, including the services provided, investment authority, investment guidelines, fees, reporting, client responsibilities, and termination rights.
Mebanewood Management acts as a fiduciary within the scope of each established advisory relationship, subject to applicable law and the governing agreement. Nothing on this website creates or expands any fiduciary duty.
Fees and Conflicts
The Firm receives compensation for its advisory services as described in its Form ADV and applicable agreements. Fees and other terms may vary among clients and arrangements based on factors including account size, investment mandate, service requirements, complexity, restrictions, and the nature and scope of the relationship.
Where permitted by applicable law, the Firm may enter into performance-based fee arrangements with eligible clients. Such arrangements may create incentives for the Firm to favor accounts subject to performance compensation or to make investments involving greater risk.
The Firm and its related persons have or may have other actual or potential conflicts of interest arising from matters such as:
- managing accounts with different mandates or fee arrangements;
- allocating investment opportunities among accounts and vehicles;
- managing or advising private investment vehicles;
- investing proprietary or personal capital;
- engaging in transactions involving affiliates or related persons; and
- maintaining relationships with custodians, brokers, service providers, issuers, or counterparties.
Material conflicts applicable to the Firm’s advisory business are described in its Form ADV and, where appropriate, in applicable agreements or offering documents.
Investment Risk
All investments involve risk, including the possible loss of principal. No investment strategy or risk-management technique can guarantee a profit, prevent a loss, or ensure achievement of an investment objective.
Past performance does not guarantee future results. References to an investment objective, process, discipline, or intended outcome are not promises or assurances of future performance.
Prospective clients should review the Firm’s Form ADV and applicable governing documents and consult their independent legal, tax, accounting, and other professional advisers before entering into an advisory relationship.
Custody and Account Communications
Client assets are generally maintained with unaffiliated qualified custodians under arrangements described in the Firm’s Form ADV and applicable account documentation.
A custodian’s maintenance of client assets does not imply that the custodian sponsors, endorses, or recommends Mebanewood Management, approves its investment decisions, or protects an account against investment loss.
Clients should review account statements received directly from their custodian and promptly report any discrepancy.
The Firm does not accept trading instructions, account changes, wire instructions, money-movement requests, passwords, authentication codes, or other sensitive or time-critical directions through this website, social media, or ordinary email. Clients must use the communication methods established in their governing agreements or other written instructions.
Private Investment Vehicles
Mebanewood Management may provide advisory services to private investment vehicles. An investor in a private vehicle is not, solely by reason of that investment, an individual advisory client of the Firm.
Nothing on this website constitutes an offer to sell or a solicitation of an offer to purchase an interest in any private investment vehicle. Any offering will be made only through applicable definitive offering and subscription documents, to eligible persons, and in accordance with applicable law.
Privacy and Code of Ethics
The Firm’s Adviser Privacy Notice describes its practices concerning nonpublic personal information relating to advisory clients and other covered persons.
Mebanewood Management has adopted a Code of Ethics addressing standards of conduct, conflicts of interest, personal securities transactions, and other matters. A copy is available to clients and prospective clients upon request to the extent required by applicable law.
Definitive Documents
This page is a summary and is not a complete description of Mebanewood Management, its services, fees, risks, conflicts, or business practices.
The Firm’s regulatory disclosures and each advisory relationship are governed by the applicable Form ADV, written agreement, investment guidelines, offering documents, and other definitive documentation. To the extent of any inconsistency, those documents control, subject to applicable law.
